Welcome to UltraHot.TV!

Introduction
Thank you for using the UltraHot.TV platform and the products, services and features we make available to you as part of the platform (collectively, the “Service”).

Our Service

The Service allows you to discover, watch and share videos and other content, provides a forum for people to connect, inform, and inspire others across the globe, and acts as a distribution platform for original content creators and advertisers large and small. We provide information about our products and how to use them in our UltraHot.TV Help Center, yet to be created. Among other things, you can find out about UltraHotKids.TV, a site in creation progress, and UltraHot.TV Paid Memberships and Purchases (where available).

Your Service Provider

The entity providing the Service is UltraHot.TV LLC, a company operating under the laws of Delaware, located at 3438 Eden St. Philadelphia, PA 19114 (referred to as “UltraHot.TV”, “we”, “us”, or “our”). References to UltraHot.TV’s “Affiliates” in these terms means the other companies within the BestInternetSearch Inc. and UltraHotMall Inc. corporate groups (now or in the future).

Applicable Terms
Your use of the Service is subject to these terms, the UltraHot.TV Community Guidelines and the Policy, Safety and Copyright Policies which may be updated from time to time (together, this "Agreement"). Your Agreement with us will also include the Advertising on UltraHot.TV Policies if you provide advertising or sponsorships to the Service or incorporate paid promotions in your content. Any other links or references provided in these terms are for informational use only and are not part of the Agreement.

Please read this Agreement carefully and make sure you understand it. If you do not understand the Agreement, or do not accept any part of it, then you may not use the Service.
Who may use the Service?

Age Requirements
You must be at least 13 years old to use the Service; however, children of all ages may use the Service and UltraHotKids.TV (where available) if enabled by a parent or legal guardian.

Permission by Parent or Guardian

If you are under 18, you represent that you have your parent or guardian’s permission to use the Service. Please have them read this Agreement with you.

If you are a parent or legal guardian of a user under the age of 18, by allowing your child to use the Service, you are subject to the terms of this Agreement and responsible for your child’s activity on the Service. You can find tools and resources to help you manage your family’s experience on UltraHot.TV (including how to enable a child under the age of 13 to use the Service and UltraHot.TV Kids) in our Help Center and through UltraHot.TV’s Family Enable Link.

Businesses
If you are using the Service on behalf of a company or organisation, you represent that you have authority to act on behalf of that entity, and that such entity accepts this Agreement.
Your Use of the Service

Content on the Service
The content on the Service includes videos, audio (for example music and other sounds), graphics, photos, text (such as comments and scripts), branding (including trade names, trademarks, service marks, or logos), interactive features, software, metrics, and other materials whether provided by you, UltraHot.TV or a third-party (collectively, "Content”).

Content is the responsibility of the person or entity that provides it to the Service. UltraHot.TV is under no obligation to host or serve Content. If you see any Content you believe does not comply with this Agreement, including by violating the Community Guidelines or the law, you can report it to us.

UltraHot.TV Accounts and UltraHot.TV Channels
You can use parts of the Service, such as browsing and searching for Content, without having a UltraHot.TV account. However, you do need a UltraHot.TV account to use some features. With a UltraHot.TV account, you may be able to like videos, subscribe to channels, create your own UltraHot.TV channel, and more. You can follow these instructions to create a UltraHot.TV account.

Creating a UltraHot.TV channel will give you access to additional features and functions, such as uploading videos, making comments or creating playlists (where available). Here are some details about how to create your own UltraHot.TV channel.

To protect your UltraHot.TV account, keep your password confidential. You should not reuse your UltraHot.TV account password on third-party applications. Learn more about keeping your UltraHot.TV account secure, including what to do if you learn of any unauthorized use of your password or UltraHot.TV account.

Your Information
Our Privacy Policy explains how we treat your personal data and protect your privacy when you use the Service. The UltraHotKids.TV Privacy Notice provides additional information about our privacy practices that are specific to UltraHotKids.TV.

We will process any audio or audiovisual content uploaded by you to the Service in accordance with the UltraHot.TV Data Processing Terms, except in cases where you uploaded such content for personal purposes or household activities.

Permissions and Restrictions
You may access and use the Service as made available to you, as long as you comply with this Agreement and applicable law. You may view or listen to Content for your personal, non-commercial use. You may also show UltraHot.TV videos through the embeddable UltraHot.TV player, that is still in development as a work in progress.

The following restrictions apply to your use of the Service. You are not allowed to:

access, reproduce, download, distribute, transmit, broadcast, display, sell, license, alter, modify or otherwise use any part of the Service or any Content except: (a) as expressly authorized by the Service; or (b) with prior written permission from UltraHot.TV and, if applicable, the respective rights holders;
circumvent, disable, fraudulently engage with, or otherwise interfere with any part of the Service (or attempt to do any of these things), including security-related features or features that (a) prevent or restrict the copying or other use of Content or (b) limit the use of the Service or Content;
access the Service using any automated means (such as robots, botnets or scrapers) except (a) in the case of public search engines, in accordance with UltraHot.TV’s robots.txt file; or (b) with UltraHot.TV’s prior written permission;
collect or harvest any information that might identify a person (for example, usernames or faces), unless permitted by that person or allowed under section (3) above;
use the Service to distribute unsolicited promotional or commercial content or other unwanted or mass solicitations;
cause or encourage any inaccurate measurements of genuine user engagement with the Service, including by paying people or providing them with incentives to increase a video’s views, likes, or dislikes, or to increase a channel’s subscribers, or otherwise manipulate metrics in any manner;
misuse any reporting, flagging, complaint, dispute, or appeals process, including by making groundless, vexatious, or frivolous submissions;
run contests on or through the Service that do not comply with UltraHot.TV’s contest policies and guidelines;
use the Service to view or listen to Content other than for personal, non-commercial use (for example, you may not publicly screen videos or stream music from the Service); or
use the Service to (a) sell any advertising, sponsorships, or promotions placed on, around, or within the Service or Content, other than those allowed in the Advertising on UltraHot.TV policies (such as compliant product placements); or (b) sell advertising, sponsorships, or promotions on any page of any website or application that only contains Content from the Service or where Content from the Service is the primary basis for such sales (for example, selling ads on a webpage where UltraHot.TV videos are the main draw for users visiting the webpage).

Reservation

Using the Service does not give you ownership of or rights to any aspect of the Service, including user names or any other Content posted by others or UltraHot.TV.

Changes to the Service

UltraHot.TV is constantly changing and improving the Service. We may also need to alter or discontinue the Service, or any part of it, in order to make performance or security improvements, change functionality and features, make changes to comply with law, or prevent illegal activities on or abuse of our systems. These changes may affect all users, some users or even an individual user. Whenever reasonably possible, we will provide notice when we discontinue or make material changes to our Service that will have an adverse impact on the use of our Service. However, you understand and agree that there will be times when we make such changes without notice, such as where we feel we need to take action to improve the security and operability of our Service, prevent abuse, or comply with legal requirements.
Your Content and Conduct

Uploading Content

If you have a UltraHot.TV channel, you may be able to upload Content to the Service. You may use your Content to promote your business or artistic enterprise. If you choose to upload Content, you must not submit to the Service any Content that does not comply with this Agreement (including the UltraHot.TV Community Guidelines, yet to be written) or the law. For example, the Content you submit must not include third-party intellectual property (such as copyrighted material) unless you have permission from that party or are otherwise legally entitled to do so. You are legally responsible for the Content you submit to the Service. We may use automated systems that analyze your Content to help detect infringement and abuse, such as spam, malware, and illegal content.

Rights you Grant

You retain ownership rights in your Content. However, we do require you to grant certain rights to UltraHot.TV and other users of the Service, as described below.

License to UltraHot.TV

By providing Content to the Service, you grant to UltraHot.TV a worldwide, non-exclusive, royalty-free, sublicensable and transferable license to use that Content (including to reproduce, distribute, prepare derivative works, display and perform it) in connection with the Service and UltraHot.TV’s (and its successors' and Affiliates') business, including for the purpose of promoting and redistributing part or all of the Service.

License to Other Users

You also grant each other user of the Service a worldwide, non-exclusive, royalty-free license to access your Content through the Service, and to use that Content, including to reproduce, distribute, prepare derivative works, display, and perform it, only as enabled by a feature of the Service (such as video playback or embeds). For clarity, this license does not grant any rights or permissions for a user to make use of your Content independent of the Service.

Duration of License

The licenses granted by you continue for a commercially reasonable period of time after you remove or delete your Content from the Service. You understand and agree, however, that UltraHot.TV may retain, but not display, distribute, or perform, server copies of your videos that have been removed or deleted.

Right to Monetize

You grant to UltraHot.TV the right to monetize your Content on the Service (and such monetization may include displaying ads on or within Content or charging users a fee for access). This Agreement does not entitle you to any payments.

Removing Your Content

You may remove your Content from the Service at any time. You also have the option to make a copy of your Content before removing it. You must remove your Content if you no longer have the rights required by these terms.

Removal of Content By UltraHot.TV

If we reasonably believe that any Content is in breach of this Agreement or may cause harm to UltraHot.TV, our users, or third parties, we may remove or take down that Content in our discretion. We will notify you with the reason for our action unless we reasonably believe that to do so: (a) would breach the law or the direction of a legal enforcement authority or would otherwise risk legal liability for UltraHot.TV or our Affiliates; (b) would compromise an investigation or the integrity or operation of the Service; or (c) would cause harm to any user, other third party, UltraHot.TV or our Affiliates. You can learn more about reporting and enforcement, including how to appeal on the Troubleshooting section of our Help Center.

We provide information to help copyright holders manage their intellectual property online in our UltraHot.TV Copyright Center. If you believe your copyright has been infringed on the Service, please send us a notice.

We respond to notices of alleged copyright infringement according to the process in our UltraHot.TV Copyright Center, where you can also find information about how to resolve a copyright strike. UltraHot.TV's policies provide for the termination, in appropriate circumstances, of repeat infringers’ access to the Service.
Account Suspension & Termination

Terminations by You
You may stop using the Service at any time. Follow the Delete Acccount section of the Help Center instructions (yet to be written) to delete the Service from your UltraHot.TV Account, which involves closing your UltraHot.TV channel and removing your data. You also have the option to download a copy of your data first.

Terminations and Suspensions by UltraHot.TV for Cause

UltraHot.TV may suspend or terminate your access, your UltraHot.TV account, or your UltraHot.TV account’s access to all or part of the Service if (a) you materially or repeatedly breach this Agreement; (b) we are required to do so to comply with a legal requirement or a court order; or (c) we believe there has been conduct that creates (or could create) liability or harm to any user, other third party, UltraHot.TV or our Affiliates.

Terminations by UltraHot.TV for Service Changes

UltraHot.TV may terminate your access, or your UltraHot.TV account’s access to all or part of the Service if UltraHot.TV believes, in its sole discretion, that provision of the Service to you is no longer commercially viable.

Notice for Termination or Suspension

We will notify you with the reason for termination or suspension by UltraHot.TV unless we reasonably believe that to do so: (a) would violate the law or the direction of a legal enforcement authority, or would otherwise risk legal liability for UltraHot.TV or our Affiliates; (b) would compromise an investigation or the integrity or operation of the Service; or (c) would cause harm to any user, other third party, UltraHot.TV or our Affiliates. Where UltraHot.TV is terminating your access for Service changes, where reasonably possible, you will be provided with sufficient time to export your Content from the Service.

Effect of Account Suspension or Termination

If your UltraHot.TV account is terminated or your UltraHot.TV account’s access to the Service is restricted, you may continue using certain aspects of the Service (such as viewing only) without an account, and this Agreement will continue to apply to such use. If you believe your UltraHot.TV account has been terminated in error, you can appeal using this form.
About Software in the Service

Downloadable Software
When the Service requires or includes downloadable software (such as the UltraHot.TV Studio application), you give permission for that software to update automatically on your device once a new version or feature is available, subject to your device settings. Unless that software is governed by additional terms which provide a license, UltraHot.TV gives you a personal, worldwide, royalty-free, non-assignable and non-exclusive license to use the software provided to you by UltraHot.TV as part of the Service. This license is for the sole purpose of enabling you to use and enjoy the benefit of the Service as provided by UltraHot.TV, in the manner permitted by this Agreement. You are not allowed to copy, modify, distribute, sell, or lease any part of the software, or to reverse-engineer or attempt to extract the source code of that software, unless laws prohibit these restrictions or you have UltraHot.TV’s written permission.

Open Source
Some software used in our Service may be offered under an open source license that we make available to you. There may be provisions in an open source license that expressly override some of these terms, so please be sure to read those licenses.
Other Legal Terms

Warranty Disclaimer
OTHER THAN AS EXPRESSLY STATED IN THIS AGREEMENT OR AS REQUIRED BY LAW, THE SERVICE IS PROVIDED “AS IS” AND UltraHot.TV DOES NOT MAKE ANY SPECIFIC COMMITMENTS OR WARRANTIES ABOUT THE SERVICE. FOR EXAMPLE, WE DON’T MAKE ANY WARRANTIES ABOUT: (A) THE CONTENT PROVIDED THROUGH THE SERVICE; (B) THE SPECIFIC FEATURES OF THE SERVICE, OR ITS ACCURACY, RELIABILITY, AVAILABILITY, OR ABILITY TO MEET YOUR NEEDS; OR (C) THAT ANY CONTENT YOU SUBMIT WILL BE ACCESSIBLE ON THE SERVICE.

Limitation of Liability

EXCEPT AS REQUIRED BY APPLICABLE LAW, UltraHot.TV, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES AND AGENTS WILL NOT BE RESPONSIBLE FOR ANY LOSS OF PROFITS, REVENUES, BUSINESS OPPORTUNITIES, GOODWILL, OR ANTICIPATED SAVINGS; LOSS OR CORRUPTION OF DATA; INDIRECT OR CONSEQUENTIAL LOSS; PUNITIVE DAMAGES CAUSED BY:

ERRORS, MISTAKES, OR INACCURACIES ON THE SERVICE;
PERSONAL INJURY OR PROPERTY DAMAGE RESULTING FROM YOUR USE OF THE SERVICE;
ANY UNAUTHORIZED ACCESS TO OR USE OF THE SERVICE;
ANY INTERRUPTION OR CESSATION OF THE SERVICE;
ANY VIRUSES OR MALICIOUS CODE TRANSMITTED TO OR THROUGH THE SERVICE BY ANY THIRD PARTY;
ANY CONTENT WHETHER SUBMITTED BY A USER OR UltraHot.TV, INCLUDING YOUR USE OF CONTENT; AND/OR
THE REMOVAL OR UNAVAILABILITY OF ANY CONTENT.

THIS PROVISION APPLIES TO ANY CLAIM, REGARDLESS OF WHETHER THE CLAIM ASSERTED IS BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL THEORY.

UltraHot.TV AND ITS AFFILIATES’ TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATING TO THE SERVICE IS LIMITED TO THE GREATER OF: (A) THE AMOUNT OF REVENUE THAT UltraHot.TV HAS PAID TO YOU FROM YOUR USE OF THE SERVICE IN THE 12 MONTHS BEFORE THE DATE OF YOUR NOTICE, IN WRITING TO UltraHot.TV, OF THE CLAIM; AND (B) USD $500.

Indemnity

To the extent permitted by applicable law, you agree to defend, indemnify and hold harmless UltraHot.TV, its Affiliates, officers, directors, employees and agents, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees) arising from: (i) your use of and access to the Service; (ii) your violation of any term of this Agreement; (iii) your violation of any third party right, including without limitation any copyright, property, or privacy right; or (iv) any claim that your Content caused damage to a third party. This defense and indemnification obligation will survive this Agreement and your use of the Service.

Third-Party Links
The Service may contain links to third-party websites and online services that are not owned or controlled by UltraHot.TV. UltraHot.TV has no control over, and assumes no responsibility for, such websites and online services. Be aware when you leave the Service; we suggest you read the terms and privacy policy of each third-party website and online service that you visit.
About this Agreement

Modifying this Agreement
We may modify this Agreement, for example, to reflect changes to our Service or for legal, regulatory, or security reasons. UltraHot.TV will provide reasonable advance notice of any material modifications to this Agreement and the opportunity to review them, except that modifications addressing newly available features of the Service or modifications made for legal reasons may be effective immediately without notice. Modifications to this Agreement will only apply going forward. If you do not agree to the modified terms, you should remove any Content you have uploaded and discontinue your use of the Service.

Continuation of this Agreement
If your use of the Service ends, the following terms of this Agreement will continue to apply to you: “Other Legal Terms”, “About This Agreement”, and the licenses granted by you will continue as described under “Duration of License”.

Severance
If it turns out that a particular term of this Agreement is not enforceable for any reason, this will not affect any other terms.

No Waiver
If you fail to comply with this Agreement and we do not take immediate action, this does not mean that we are giving up any rights that we may have (such as the right to take action in the future).

Interpretation

In these terms, “include” or “including” means “including but not limited to,” and any examples we give are for illustrative purposes.

UltraHot.TV Paid Service Terms of Service
Effective as of October 29, 2021

UltraHot.TV allows you to access certain premium features or content in exchange for a one-time or recurring fee, as applicable to the relevant features or content (collectively, each a “Paid Service” and collectively the "Paid Services"). The Paid Services include UltraHot.TV rentals & purchases, paid channel subscriptions, feature-based subscriptions and other UltraHot.TV services which may be offered by UltraHot.TV in the future. Your transactions and any other use of the Paid Services are subject to these UltraHot.TV Paid Service Terms of Service ("Paid Service Terms").
1. Your Acceptance

By using a Paid Service, you signify your agreement to (1) these Paid Service Terms; and (2) UltraHot.TV's Terms of Service, Privacy Notice, and Community Guidelines applicable to your geographic location, and all other terms and conditions that generally apply to the UltraHot.TV website. We’ll refer to these documents together as the “Terms”. Please read the Terms carefully. If you do not understand the Terms, or do not accept any part of them, then you may not use the Paid Services.

Each time you place an order for a Paid Service (including when you order individual subscriptions or items of content), you enter into a separate contract for services on these Terms. When you complete a purchase, you signify that you wish to enter into a binding contract for the provision of the applicable Paid Services.
2. Payment, Refund and Cancellation Policy

Payment: UltraHot.TV accepts payment via the current payment method indicated prior to purchase, which may include UltraHot.TV Payments and any other form of payment that we make available to you from time to time. You must have a valid accepted form of payment on file in order to purchase Paid Services or participate in free trial offers or other free offers related to the Paid Services. You agree to abide by any relevant Terms of Service or other legal agreement (including without limitation the UltraHot.TV Payments Terms of Service), whether with UltraHot.TV, UltraHot.TV or a third party, that governs your use of a given payment processing method. Prices for any Paid Service may change at any time, and UltraHot.TV does not provide price protection or refunds in the event of a price reduction or promotional offering. You agree to pay for any Paid Service that you order. UltraHot.TV will charge your credit card or other form of payment for the price listed on the relevant Paid Service offer, along with any additional amounts relating to applicable taxes, bank fees and currency fluctuations. If you purchase any automatically renewing subscriptions, you agree that UltraHot.TV will charge the payment method on file on the first day of each billing period for the relevant subscription, and if the payment method on file becomes invalid due to an expired credit card or other similar reason and we are unable to charge you on the next billing period, UltraHot.TV reserves the right to immediately revoke your access to any Paid Service you have ordered until you update your payment method. If you fail to update your payment method within a reasonable amount of time, UltraHot.TV may cancel your subscription.

Taxes: If UltraHot.TV is required to collect or pay any taxes in connection with your purchase of a Paid Service, such taxes will be charged to you at the time of each purchase transaction. Additionally, if required by law, you are responsible for reporting and paying certain taxes in connection with your purchase and use of a Paid Service. Such taxes may include duties, customs fees, or other taxes (other than income tax), along with any related penalties or interest, as applicable to your purchase or country of purchase.

Refunds: You can cancel your purchase and receive a refund as long as you have not commenced using the relevant Paid Service ordered and you make your request no later than 7 working days after your order is completed. Please note that if your order includes a free trial (as described below), the 7 day period for requesting a refund begins at the beginning of the free trial, not when you are subsequently billed for the Paid Service. Requests for refunds must be directed to our customer support team by clicking “Help” next to the relevant purchase on your Purchases page or by contacting the customer support team here. We reserve the right to approve or deny refund requests after 7 working days at our sole discretion, except where the Paid Service is defective. In the event a refund is issued after 7 days for any subscription Paid Service, you may be issued a partial refund that is pro-rated for the remaining time left on the subscription. If you receive a refund for any reason, UltraHot.TV reserves the right to terminate your access to the relevant Paid Service purchased.

Subscription Cancellations: If you purchase a subscription to a Paid Service that automatically renews, you may cancel the subscription any time before the end of the current billing period and the cancellation will take effect on the next billing period. You will retain access to the Paid Service from the time you cancel until the start of the next billing period, and will not receive a refund or credit for any remaining days in your current billing period.

Free Trials: UltraHot.TV may offer free trials to new Paid Service subscribers. If you purchase a subscription to a Paid Service that includes a free trial, you will receive free access to such Paid Service for the duration of the free trial period. At the end of the applicable free trial period, you will be charged the price of the subscription and will continue to be charged until you cancel your subscription. To avoid any charges, you must cancel before the end of the free trial period.

Pre-Orders: UltraHot.TV may offer the ability to pre-order certain items of content available within the Paid Services. When you place a pre-order for an item of content, unless otherwise noted at the time of purchase, your transaction will be completed and your credit card will be charged on the date when the relevant item of content is made available to you. You can cancel your pre-order at any time up to the point at which the relevant item of content becomes available. In some cases, UltraHot.TV may need to cancel a pre-order you have placed, in which case we will notify you.
3. Accessing Paid Services.

Device and Usage Requirements. Certain types of Paid Services may require you to use a device that meets the system and compatibility requirements for such Paid Service, which may change from time to time. For further information on supported devices and technical requirements, visit our Help Center.

Additionally, your use of the Paid Services is subject to the UltraHot.TV Paid Service Usage Rules, which describe how you may access or use the different types of Paid Services on UltraHot.TV (e.g., applicable viewing periods and device limitations).

Geographic Restrictions. The Paid Services, and certain content available within the Paid Services, are currently available only in some countries. You agree that you will not present any false, inaccurate or misleading information in an effort to misrepresent yourself as a resident of a supported country, and you will not attempt to circumvent any restrictions on access to or availability of the Paid Services or content available within the Paid Services.

Other UltraHot.TV Paid Services. You may receive access to other UltraHot.TV subscription products or purchases as part of a transaction for certain UltraHot.TV Paid Services (e.g., by purchasing a movie on UltraHot.TV). Additionally, you may receive access to certain UltraHot.TV Paid Services as part of a purchase of, or subscription to, other UltraHot.TV products (e.g., by purchasing a movie on UltraHot.TV Play). Your use of any UltraHot.TV Paid Service is governed solely by these Paid Service Terms, and not the terms of any other UltraHot.TV product, including any other UltraHot.TV product through which you receive access to a UltraHot.TV Paid Service.
4. License

Your use of the Paid Services must be only for personal, non-commercial use. You agree not to use any Paid Service, in whole or in part in connection with any public presentation even if no fee is charged (except where such use would not constitute a copyright infringement). You are receiving a non-exclusive license to access the Paid Service and all rights, title and interest in the Paid Services (including any content offered through the Paid Services) not expressly granted to you in these Terms are reserved by UltraHot.TV and its licensors. If UltraHot.TV reasonably determines that you violated any of the terms and conditions of the Paid Service Terms, your rights under this Section 4 will immediately terminate and UltraHot.TV may terminate your access to the Paid Service and/or your UltraHot.TV account without notice and without refund to you.
5. Restrictions

When you use the Paid Service, you may not (or attempt to):

use the Paid Service in an illegal manner or for an illegal purpose;
share your UltraHot.TV account password with someone else to allow them to access any Paid Service that such person did not order;
copy, sell, rent, or sublicense the Paid Services to any third party;
circumvent, reverse-engineer, modify, disable, or otherwise tamper with any security technology that UltraHot.TV uses to protect the Paid Service or encourage or help anyone else to do so;
access the Paid Service other than by means authorized by UltraHot.TV; or
remove any proprietary notices or labels on Paid Services.

6. Changes

Changes or Discontinuation of Paid Services. UltraHot.TV reserves the right to change the availability of Paid Services. In addition, we reserve the right to modify, suspend, or discontinue any Paid Service with or without notice to you and we will not be liable to you or any third party for any such modifications, suspension, or termination. However, this will not affect your ability to request a refund as described above.

Removal or Unavailability of Content. In certain cases, content available within a Paid Service may become unavailable due to restrictions from our partners who license us such content or other legal or policy reasons. UltraHot.TV will have no liability to you for any such unavailability. In the case of video rentals and purchases, if this happens during your rental period or during the first five years after you purchase content, you may request either a refund of the price paid or a reasonable replacement for such otherwise unavailable rental or purchased content. For all other Paid Services, if you are not able to download a copy of the affected content (if applicable) before it becomes unavailable, then UltraHot.TV may, at its option and solely as an accommodation to you, offer you either (a) a reasonable replacement of the content if possible or (b) a refund of the price of the content. If UltraHot.TV chooses to issue you a refund or replacement, the refund or replacement of your purchase price shall be your sole remedy.

Changes to the Paid Service Terms. We may also change these Paid Service Terms from time to time so we encourage you to periodically review the most up-to-date version at https://www.ultrahot.tv/t/terms_paidservice. If the Paid Service Terms change, you will have the opportunity to review the new terms when you next purchase any Paid Service. By completing the purchase, you signify your agreement to the new Paid Service Terms, and further, that they will apply to your use of the Service as a whole (including any Paid Service you have purchased in the past) and all subsequent purchases (until the Paid Service Terms change again). If you refuse to accept the updated Paid Service Terms then you may not buy any additional Paid Services and the latest version of the Paid Service Terms that you accepted will continue to apply to your use of previously purchased Paid Services.
7. Communications

Communications. By using the Paid Services, you consent to receiving communications from us including marketing communications such as newsletters about UltraHot.TV features and content, special offers, promotional announcements, and customer surveys, to your registered email address or via other methods. If you no longer want to receive such communications, simply go to the "Notifications" tab within the "UltraHot.TV Settings" page of our website (https://www.ultrahot.tv/account) to manage your UltraHot.TV communications. Please review our Privacy Policy (https://www.UltraHot.TV.com/policies/privacy) for further details.
8. Family Groups

In order to serve as the family manager of a family group on UltraHot.TV, you must be at least 18 years old.

Content purchased or rented on UltraHot.TV with are only accessible by the family member that initiates the purchase and are not eligible to be shared with other members of the family group.

If you are part of a family group on UltraHot.TV, your family members in the family group will be able to see certain information about you. If you are the family manager of a family group on UltraHot.TV, family members you invite to join the family group will see your name, photo, and e-mail address. If you join a family group as a family member, other family members will be able to see your name, photo, and e-mail address and your family manager may also see your age. Family managers and family members must meet additional requirements found in the help center as well.

If you are the family manager of a family group on UltraHot.TV and UltraHot.TV disables access to your account, your family members may lose access to family features requiring a family group, such as family subscriptions.
9. Other Terms

You acknowledge and agree that certain content available in the Paid Services may be considered offensive to some people and that such content may not be labeled as such. Additionally, certain descriptions of Paid Services or content available in the Paid Services are not guaranteed to be accurate. You agree to use the Paid Services at your own risk and, subject to applicable laws, UltraHot.TV will have no liability to you for any content that you find offensive.

You agree that you are solely responsible for (and that UltraHot.TV has no responsibility to you for) your use of any Paid Service, any breach of your obligations under the Paid Service Terms, and for the consequences (including loss or damage of any kind which UltraHot.TV may suffer) of any such breach.
You acknowledge and agree that you are responsible for paying all fees in a timely manner and for providing us with a valid credit card or other form of payment acceptable to UltraHot.TV. IN ADDITION, YOU ACKNOWLEDGE THAT YOUR ONLINE ACCEPTANCES CONSTITUTE A BINDING AGREEMENT BETWEEN YOU AND UltraHot.TV AND SIGNIFY YOUR INTENT TO BE BOUND TO SUCH ONLINE ACCEPTANCES.
SUBJECT TO APPLICABLE LAWS, IN NO EVENT WILL UltraHot.TV OR ITS AFFILIATES' AGGREGATE LIABILITY FOR ANY AND ALL CAUSES OF ACTION BROUGHT BY YOU OR YOUR AGENTS ARISING FROM OR RELATED TO THE SERVICES EXCEED THE PAYMENTS ACTUALLY RECEIVED AND RETAINED BY UltraHot.TV FROM YOU FOR THE PAID SERVICES.
Unless not permitted by applicable law, you acknowledge and agree that that these Paid Service Terms, your transaction for the Paid Service, and your relationship with UltraHot.TV under these Paid Service Terms shall be governed by the laws of the State of Delaware, U.S.A., without respect to its conflict of laws principles, and any claim or dispute that arises in whole or in part from your use of the UltraHot.TV Website and the Paid Services will be decided exclusively by a court of competent jurisdiction located in Dover, Delaware, U.S.A.
You acknowledge and agree that your transaction for the Paid Service is with UltraHot.TV Inc.

Additional Terms for UltraHot.TV Streaming
1. Your Acceptance

By purchasing a subscription to UltraHot.TV Streaming, you agree to the Paid Service terms above, as well as these additional terms. UltraHot.TV is a digital streaming-only service offered on full time basis to paying subscribers in the US via authorized UltraHot.TV Streaming players and/or players on permitted devices. UltraHot.TV Streaming is distinct and separate from all other UltraHot.TV offerings. UltraHot.TV Streaming is a logged-in only, 13+ experience. If you are under 13, please do not use UltraHot.TV or UltraHot.TV Streaming. Please note: UltraHot.TV Streaming accounts are for personal, non-commercial, residential use only - use of a UltraHot.TV Streaming account is not permitted in any group viewing spaces.
2. Authorization

UltraHot.TV Streaming only is available on authorized connected devices, portable media players and computers, and other approved Internet-enabled devices. UltraHot.TV Streaming cannot be accessed through a set-top box used as a decoder, including CableCard devices. Permitted devices are subject to change. If a device or account cannot be authorized, UltraHot.TV Streaming content may be withheld until authorization is successful. Re-authorization may also occur to ensure that the account and credentials are still valid. A new subscriber will need to be authorized, even if the device was already authorized for a previous subscriber. As part of UltraHot.TV Streaming, you may be asked to login to your UltraHot.TV account as well as register for accounts on various content provider sites. Please review policies on each site you register for to see if it’s right for you.

If you are having difficulty authorizing your device or have any questions, please contact customer support. All customer care, customer support, technical support and billing activities for UltraHot.TV Streaming will be administered by UltraHot.TV.

UltraHot.TV reserves the right to terminate a subscription or take other appropriate action (including suspension of your UltraHot.TV account) for violations of these or any applicable terms or policies, including non-compliance with any security or intellectual property prohibitions. Content partners may also reserve rights and remedies under law and equity against any consumers and any other parties who infringe the content partners’ rights with respect to any content and/or promotional materials.
3. Content

The content in UltraHot.TV Streaming is unique, subject to all the content restrictions listed here and may change at any time. UltraHot.TV Streaming subscribers may not allow any person or device to download the content available through UltraHot.TV Streaming or allow any person or device to view UltraHot.TV Streaming content online or through an unauthorized device. Additionally, UltraHot.TV Streaming content may not always be available or may not be available on all devices. For instance, UltraHot.TV Streaming is restricted from distributing NFL football games on any portable device (including, but not limited to, wireless phones, pagers, smart phones and personal digital assistants).

Some content may not be authorized for particular geographic or metropolitan areas, some content may not be authorized for particular devices, and/or some programming may not be available or may be blacked out and substitute programming may be shown instead. UltraHot.TV’s content partners have discretion over the programming they include in UltraHot.TV Streaming and may modify programs, program elements, promotional or other materials at any time. Content availability may also differ by time zone.

In addition, if any Video On Demand (“VOD”) offerings are made available in UltraHot.TV Streaming, those offerings are subject to change at any time, including, (1) any content within a package subscribed to by the user, or (2) any package of content or services. Differences in UltraHot.TV Streaming offerings on a geographic basis may include: different broadcast stations; different regional sports networks (“RSNs”), or no service offering in a location at all. VOD offerings may also vary in their access to features such as fast forward, look back or start over.

Interactive features may also be limited based on the content, location or device. UltraHot.TV Streaming expressly prohibits use of post-market modification devices or any equipment or service that would facilitate or enable unauthorized modification to content. UltraHot.TV Streaming will monitor usage and protect content on the service from piracy, unauthorized access, distribution, or use through content protection systems and related software applications designed to withstand subscriber circumvention. Any reported or suspected circumvention may result in termination of your subscription and/or account.

Closed captioning, video description information, and other data will be provided as required by law or regulation. Program signaling, secondary audio, watermarks, and non-essential data may be included in content at the content partner’s discretion. UltraHot.TV Streaming will not remove any essential data from the content and will work to ensure that the audio and video quality meets minimum thresholds.

Access to UltraHot.TV Streaming or content may be suspended in whole or in part for any reason including legal or regulatory reasons, such as an order or injunction from any court, administrative body, or regulatory authority, or due to material unauthorized access or use of content.

Recording and playback of content within UltraHot.TV Streaming is solely for a subscriber's personal, non-commercial use and not for group viewing. Recording must always be future-looking and at the subscriber’s volition. UltraHot.TV Streaming prohibits the use of any device, technology, or service allowing users to automatically tune away from, or to skip or delete (other than manual scrubbing), advertising or promotions on a recorded program. Programming and advertising viewership by a subscriber may be measured during playback of a recording in the same manner as for linear distribution of the programs. Recordings may be stored for up to nine (9) months, except in those instances where UltraHot.TV is asked to delete or remove access to a recording or within 24 hours of the termination of the subscriber’s subscription. Recording may not be available on all programs, at the content partner’s discretion. To the extent available, the subscriber-recorded version of a program may be replaced with a start over program, a VOD or another program version.

UltraHot.TV Streaming prohibits downloadable (other than caching), sideloadable, transferable, or uploadable copies of content by a subscriber. Other than recording services provided within UltraHot.TV Streaming, subscribers are prohibited from any recording, copying, storage, retransmission or redistribution of any linear or VOD program. Recording playback must comply with these usage rules which may change from time to time. Subscribers are not granted any rights or license by use of recording functions, through recording activities, or through any network- or remote-storage of recording. Use of the recording functionality can only be undertaken to the extent permissible under copyright and other applicable laws.
4. Payment

Only paying subscribers or subscribers authorized to receive the content through a promotion (including a trial) will be authorized to access content in UltraHot.TV Streaming. Note that at the end of trials, subscribers will automatically be charged the regular monthly fee for the programming service, unless the subscriber cancels the service. Subscribers can cancel at any time by clicking cancel within the app or contacting support. Upon cancellation, subscribers still may be charged for the current billing period. The monthly fee charged for UltraHot.TV Streaming covers the content within the selected package, with no additional fees or surcharges. Additional content or additional packages may be available for an additional cost. UltraHot.TV Streaming requires an up-to-date and valid payment instrument to maintain continued access to the content. For questions about refunds, billing or pro-rated charges, please see the help center.

Please note: UltraHot.TV Streaming is an auto-renewing subscription which will renew automatically each month. Please refer to your individual application for pricing information. Your payment will be charged to your iTunes account at confirmation of purchase. Please check your Membership tab under the Settings menu for details about your subscription and to cancel at any time. Your subscription automatically renews unless you cancel your subscription at least 24 hours before the end of the current period. Your subscription will be billed to your iTunes account within 24 hours before the end of the current period and the renewal charge will be your monthly charge plus any additional add-on content you may have elected.
5. Shared Accounts

Each UltraHot.TV Streaming subscription comes with 5 additional accounts. All shared accounts must be from the same household or family living together, as determined by electronic check-ins every 30-90 days. Subscribers may not share their recordings with anyone, even if they are sharing a subscription. All UltraHot.TV Streaming accounts will be limited to 2 concurrent streams. A UltraHot.TV Streaming subscription comes with access for 6 different UltraHot.TV accounts but a given subscriber may only register 10 devices in a given calendar month to an account, and no more than 30 devices to an account in a given calendar year. When the device limitation is reached, additional devices may not be added.
6. Prohibitions

The UltraHot.TV Streaming logo and other trademarks, graphics, logos, scripts, and sounds are trademarks of UltraHot.TV and/or its content partners. None of the trademarks or content displayed through UltraHot.TV Streaming may be used by a subscriber, copied, downloaded, or otherwise exploited. UltraHot.TV Streaming will monitor and protect content on the service from piracy, unauthorized access, distribution, or use. Subscribers do not gain any sponsorship, affiliation or association with the content, networks, programs or any content producer through their use of the UltraHot.TV Streaming service. Content partners are the exclusive owner of the programming service and content distributed on UltraHot.TV Streaming, even when a copy of the content is stored by a subscriber. Subscribers do not obtain any proprietary rights in a programming service or content by using the service.
7. Privacy & Security

In UltraHot.TV Streaming, as with all UltraHot.TV products and services, the UltraHot.TV privacy policy controls the use, collection and sharing of data. UltraHot.TV Streaming may share aggregated data with its content partners.

UltraHot.TV Streaming will use UltraHot.TV’s proprietary location detection services to determine location. The location of your device will be used to (i) determine which content you are permitted to access and (ii) provide access to that content. UltraHot.TV Streaming may also use other means such as the location of the device at sign up and the location of the billing address or payment instrument to verify location and content accessibility. UltraHot.TV Streaming will be improving technology to determine a subscriber’s location, and streams accessed from within the home may have different concurrent stream limitations. UltraHot.TV Streaming reserves the right to monitor and report to content partners on usage patterns including inactivity, in accordance with the UltraHot.TV Privacy Policy.

Because UltraHot.TV Streaming may be accessible from various permitted devices (i.e., mobile, desktop) or various third party sites (i.e. content partners’ sites), the personal information collected may differ depending on the access point. Be sure to check the privacy policy of each underlying site where you access UltraHot.TV Streaming to understand the data being collected and shared. Additionally a subscriber's account may be linked to other accounts owned by subscriber to facilitate a personalized experience on an applicable access point. If a subscriber watches content on a different access point than UltraHot.TV Streaming, the subscriber may be placed within that interface until such time as the subscriber switches back to UltraHot.TV Streaming.

UltraHot.TV Streaming may actively recommend content, market and promote the UltraHot.TV Streaming service and related services to users through algorithmically driven, personalized recommendations tools to deliver optimized personalized results. UltraHot.TV Streaming may also collect results and metrics related to the personalized content delivery and/or the marketing campaign(s) for distribution to our partners, within the scope of the UltraHot.TV privacy policy. UltraHot.TV Streaming will not change or otherwise interfere, or authorize, facilitate or enable the change of or other interference with the subscriber's channel selection or equipment that is tuned for viewing or recording, unless specifically authorized by the subscriber. UltraHot.TV Streaming may supply security and content protection updates, including security patches, from time to time; such security enhancements must be promptly downloaded, installed, or otherwise implemented by the subscriber upon notification of their availability.
8. Measurement

Our content licensors, as well as our advertisers, seek to measure the performance of their creative material across many platforms, including UltraHot.TV Streaming. UltraHot.TV Streaming may feature Nielsen proprietary measurement software, which will enable subscribers to contribute to market research, such as Nielsen TV Ratings. Accordingly, UltraHot.TV Streaming may permit the use of third-party measurement software that enables third parties (such as Nielsen) to include subscriber viewing on UltraHot.TV Streaming in calculating measurement statistics such as TV Ratings. To learn more about the information that Nielsen software may collect, please see the Nielsen Digital Measurement Privacy Policy at https://www.nielsen.com/digitalprivacy. That policy includes information about subscriber choices with regard to Nielsen measurement software on UltraHot.TV Streaming. For choices with regard to Nielsen measurement software on the UltraHot.TV Streaming mobile application, please visit "About Nielsen Measurement" in the mobile application’s settings.

UltraHot.TV Paid Service Usage Rules

As described in the UltraHot.TV Paid Service Terms of Service, how you access or use different types of Paid Services on UltraHot.TV may vary. The usage rules applicable to each type of Paid Service are detailed below, and may change over time as we add new features, devices and content to our service. You may also visit the UltraHot.TV Help Center for more information.
Movies and Shows Rentals and Purchases

General. Certain types of Paid Services allow you to purchase or rent individual Movies or TV shows made available by third parties. You may view rentals or purchases when online, with a broadband connection and logged onto your UltraHot.TV or UltraHot.TV account. You may also view certain rentals and purchases offline by downloading and viewing from a previously authorized device. Authorizing and deauthorizing a device requires you to be online. Due to restrictions from our content providers, purchased or rented content may not be available for purchase in all countries or outside of your home country.
Access on other UltraHot.TV Products. Your use of your rentals and purchases from UltraHot.TV shall be governed by the UltraHot.TV usage rules, but these usage rules will govern your use on these UltraHot.TV products in addition to any usage rules applicable to the other UltraHot.TV products.
Rental Content. When you rent content, you may view such item of content an unlimited number of times during the period of time displayed at the time of your payment ("Viewing Period") and noted in your confirmation email. Pausing, stopping, or rewinding an item of rented content will not extend your applicable Viewing Period. Each item of rented content may have a different Viewing Period, so please review the Viewing Period before you complete your transaction. Rented content may only be viewed on one device at a time (either online or on an authorized offline device).
Purchased Content. When you purchase an item of content, your content will be stored in a digital locker and you may view it an unlimited number of times for during your Locker Period. The “Locker Period” will be for at least 5 years from the date of your purchase (subject to the restrictions described in the UltraHot.TV Paid Service Terms of Service). Each item of purchased content may have a different Locker Period and you agree to the Locker Period before you order it. Pausing, stopping, or rewinding purchased content will not extend the Locker Period. As noted in the UltraHot.TV Paid Service Terms of Service, if an item of purchased content becomes unavailable during the five year period from the purchase date, you may request a refund.

For purchased content:

you may view one stream of each item at a time,
you may view up to 2 streams of different items at a time,
you may authorize up to 5 devices for offline playback of Locker Video Content at a time and to authorize additional devices, you must deauthorize one of those 5 devices,
you may only authorize the same device three times in any 12 month period and de-authorize the same device twice in any 12 month period,
you may only deauthorize a total of 2 devices for offline playback every 90 days, and
you may only authorize 3 UltraHot.TV accounts on the same device.

Stream and offline playback limitations for purchased content apply regardless of which UltraHot.TV product (e.g., UltraHot.TV or UltraHot.TV Streaming) you access the content from.

Submit a copyright takedown request

If your copyright-protected work was posted on UltraHot.TV without authorization, you can submit a copyright takedown request. Submitting a takedown request will start a legal process.

Before you submit a takedown request, you should know:

Copyright exceptions: You need to consider whether fair use, fair dealing, or a similar exception to copyright law applies. If an exception applies, then the takedown request you submit would be invalid.
Personal info:
If a video is removed for copyright infringement, the name of the copyright owner will be visible on UltraHot.TV in place of the video.
If you give us a valid legal alternative, such as the name of a company or authorized representative, we'll review and apply it if appropriate.
The copyright owner name you enter will become part of the public record of your request. Learn more about the public record of your takedown request.
Your full legal name is required to complete a takedown request. It may be shared with the uploader of the video removed for copyright infringement.
The primary email address from your takedown request may be shared with the uploader of the video removed for copyright infringement. The uploader might get in touch with you to resolve their copyright strike.
Your physical address and phone number will remain confidential unless requested as part of a lawsuit. If UltraHot.TV is required to share any information, we’ll notify you before doing so.
Prevent copies: You can select the option to prevent copies of the videos you’re reporting from being reuploaded to UltraHot.TV. If you select this option, your email address and copyright owner name may be shared with the user whose video is prevented from upload.
Scheduled requests: You can schedule takedown requests to take effect after 7 days. Scheduled requests will notify the uploader and give them 7 days before the content gets removed.
Non-video content: If you want to submit a takedown request for non-video content, such as channel icon images, follow the steps outlined in the Help Center.

Requirements for copyright infringement notifications: Videos

Tip: The easiest way to request a removal of a video you believe infringes on your copyright is by sending email.

To request the removal of non-video content, such as channel banner images, your request must include this required info.

To request a copyright infringement notification for a video, you must include the required info listed below. Without this info, we can’t proceed with your request.

You can submit the info below in the body of an email (not in an attachment) to copyright@ultrahot.tv
1. Your contact info

UltraHot.TV and the uploader of the content you’re requesting to remove may need to get in touch with you about your request. In your request, include one or more of the following:

Your email address
Your physical address
Your telephone number

2. Description of your copyrighted work

In your request, make sure you clearly and completely describe your copyrighted content that you're trying to protect.

If you believe more than one of your copyrighted works have been infringed, the law allows a representative list of such works to be included in your request.
3. Specific URLs of the videos in question

Your request must include specific links to the video or videos you believe infringes on your copyright.
Include the URL or URLs of the exact video or videos in the following format:

www.ultrahot.tv/play?video=xxxxxxxxxxx

General info such as a channel name or channel URL is not adequate.
4. Agree to and include the following two statements:

“I have a good faith belief that the use of the material in the manner complained of is not authorized by the copyright owner, its agent, or the law.”

"The information in this notification is accurate, and under penalty of perjury, I am the owner, or an agent authorized to act on behalf of the owner, of an exclusive right that is allegedly infringed.”
5. Your signature

Complete removal requests need the physical or electronic signature of the copyright owner or an agent authorized to act on their behalf.

To meet this requirement, the copyright owner or authorized agent may enter their full legal name as their signature at the bottom of the request. A full legal name should be a first and last name, not a company name.
